Safa Global

OUR ENTITIES

Five Entities,
One Mission

THE CONSTITUTIONAL COURT

Safa Global Foundation

The constitutional anchor of the architecture. A Maltese private purpose foundation under Civil Code Chapter 16 / Second Schedule, designed for permanence across generations of operating management. Holds binding Class F veto over the three founding commitments (asset-backed, Islamic-ethically aligned, long-horizon).

  • Binding oversight over all four operating arms via Reserved Matters
  • Shariah Advisory Board seated inside with binding veto authority
  • Custodian of the Safa Global Society register
  • Designed as the eventual steward-owner of Safa Global (Rolex pattern)

SGC

Safa Global Capital

Existing entity, Maltese restructuring in progress

THE AIFM (THE STATE)

Safa Global Capital

The Maltese AIFM that manages the Fund as Wakil under AAOIFI Wakalah, distributes STAC under MiFID II, and hosts the Safa Global Society as a consumer-service membership. SGC maintains a mandatory 5% co-investment pari passu in STAC with retail holders.

  • Safa Global Society membership (Resident / Citizen / Founder Annual / Founder Lifetime)
  • Private Angel SAFE round for accredited and qualified investors (Reg D 506(c) / Reg S / EU Art. 1(4)(a) / per-jurisdiction)
  • STAC distribution under MiFID II (jurisdiction-gated; not available to US persons)

SGM

Safa Global Mint

In preparation (Maltese SICAV/SLPF, ELTIF 2.0 authorisation in progress)

THE FUND (THE CENTRAL BANK)

Safa Global Mint

The Fund vehicle. A Maltese SICAV with variable share capital or Special Limited Partnership Fund, authorised as ELTIF 2.0. Issues tokenised STAC fund units on Polygon PoS under the MFSA Position Paper on Tokenisation (June 2025). Holds identified, valued, real-world assets.

  • Tokenised STAC fund-unit issuance under MFSA Tokenisation Position Paper + EU DLT Pilot Regime once licensing concludes
  • 133 million STAC supply, asset-backed reserves disclosed
  • Binding token-vote whitepaper for Phase B Member governance
  • Independent from operating management, like a central bank

SGCU

Safa Global Custody

In preparation (AIFMD Article 21 Depositary)

THE DEPOSITARY (THE VAULT)

Safa Global Custody

The Maltese AIFMD Article 21 Depositary. Holds the Fund portfolio in strict-liability segregation per AIFMD Article 21(11)-(12). Executes daily reserve attestations and quarterly auditor sign-offs. DLT-aware custody for tokenised units.

  • CASP Class 2 licensing in preparation, AIFMD Article 21 Depositary primary regime
  • STAC reserve custody segregated from operating treasury
  • Multi-asset coverage (digital, tokenized real-world assets)
  • Audited segregation of client and proprietary assets

SGV

Safa Global Ventures

Maltese sub-AIFM in preparation; transitioned from ADGM in 2026

THE SUB-AIFM (THE SOVEREIGN WEALTH FUND)

Safa Global Ventures

The Maltese sub-AIFM managing the Excellence Fund (operating-equity portfolio, 60% of STAC portfolio allocation). Deploys capital under a Shariah-screened mandate set by Members through Phase B token voting (broad investment thesis, not individual portfolio-company decisions). Houses the vertical-parent layer (Safa Energy, Safa Health, Safa Sustainability) that consolidates operating companies under sector entities.

  • Excellence Fund portfolio, 13 operating companies across 8 verticals, $80M Strategic Platform Valuation
  • Vertical-parent layer: Safa Energy (AI Fuel Efficiency), Safa Health (Together), Safa Sustainability (Circles)
  • Shariah-screened, ethically constrained investment mandate
  • LP partnership and co-investment structures
  • Maltese AIFMD authorisation in preparation; transitioned from ADGM in 2026

FOUNDER HOLDING VEHICLE

Safa Global Partners Ltd

The sixth entity. A Maltese private limited company acting as the corporate general partner and Founder Holding Vehicle. Class A and Class B share structure designed for future Rolex-style transfer to the Foundation as part of the steward-ownership endgame.

The Founder owns and operates today. The Foundation accepts ownership in time. The mission persists across both.

SHARED PORTFOLIO

The four operating arms invest into and operate the same portfolio of real ventures and assets. Different roles, aligned outcomes.
